Referral Program Terms and Conditions

Stillpoint Builders LLC ("Company," "we," "us," or "our") offers this referral rewards program ("Program") to thank valued clients who refer new customers to our construction and home improvement services.

By participating in this Program—whether by submitting a referral online, by email, or otherwise—you affirm that you have read, understand, and agree to be legally bound by these Terms and Conditions.

2.1 Eligible Referrers

Only current or former clients of Stillpoint Builders LLC who have completed a paid project with us are eligible to participate.

2.2 Ineligible Referrers

The following individuals may not participate:

• Company employees, contractors, or subcontractors
• Immediate family members of company personnel
• Business partners or vendors of the Company
• Anyone acting in a professional or commercial capacity as a referral agency or broker

2.3 Self-Referrals Prohibited

Referrers may not refer themselves, their own businesses, or any entity in which they have a financial interest.

3.1 Definition

A "Qualified Referral" is a new customer who:

• Has not previously entered into a contract with Stillpoint Builders LLC
• Is not currently in our prospect database or sales pipeline
• Signs a contract with us for services valued at $3,000 or more
• Completes the project and pays in full
• Specifically identifies the referrer during their initial contact

3.2 How to Refer

A referral is valid only if the referred customer either submits the online contact form and includes the referrer's name in the designated referral field, or identifies the referrer by full name in their initial written communication with us.

4.1 Standard Rewards

Referrers will receive the following after the referred customer's project is completed and paid in full:

If the referred customer signs and pays their deposit within 30 calendar days of initial contact, the reward will increase by 40%.

4.3 Reward Timing

All referral rewards will be issued only after completion of the referred customer's project, receipt of final payment in full, and expiration of a 30-day satisfaction period.

5.1 Business Continuity

Reward obligations are contingent upon Stillpoint Builders LLC remaining in active business and having the financial means to fulfill program obligations.

5.2 Right to Modify

We reserve the right to modify, suspend, or terminate this Program at any time, with 30 days' notice to active participants. Active participants are defined as those with a pending or unpaid reward, or those who have referred a customer in the past 180 days.

5.3 Geographic Scope

This Program applies only to projects located within our standard service area, which includes Durham, North Carolina and surrounding regions.

6.1 Payment Method

Cash rewards will be issued via check or electronic transfer. Project credits will be applied to future work orders.

6.2 Tax Responsibility

Participants are responsible for any federal, state, or local taxes that may apply to rewards received through this Program, including both cash payments and project credits. If a participant receives $600 or more in total annual rewards, Stillpoint Builders LLC may issue IRS Form 1099-NEC in accordance with tax reporting obligations.

6.3 Credit Terms

Project credits never expire; are transferable to immediate family members (defined as spouse, parent, child, or sibling) upon written request and documentation; cannot be redeemed for cash; and may be applied to reduce the cost of future projects.

7.1 One Reward Per Referral

Only one reward will be paid per referred customer, even if multiple people submit the same referral. The first valid submission will be honored.

7.2 No Retroactive Rewards

Referrals submitted after a customer has already made contact with the Company will not be eligible for rewards.

7.3 Good Faith Requirement

All participants must act in good faith. Fraudulent, deceptive, or manipulative behavior—including fabricated referrals—will result in disqualification and may result in legal action or repayment of improperly obtained rewards.

8.1 Disclosure Requirement

Referrers must clearly disclose to any prospective customer that they may receive compensation for making a successful referral.

8.2 Accurate Representations

Participants may not make false or misleading claims about the Company, its services, or the referral program.

8.3 No Obligation to Accept Projects

Stillpoint Builders LLC reserves the right to reject any potential client or project at its sole discretion, regardless of referral status.

9.1 No Liability Upon Business Dissolution

In the event of business dissolution, bankruptcy, or permanent closure, all outstanding or pending reward obligations will be voided with no further liability to the Company.

9.2 Force Majeure

We are not liable for delays or non-performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, strikes, supply chain disruptions, regulatory changes, or public health emergencies.

9.3 Dispute Resolution

All disputes arising out of or related to this Program will be resolved through binding arbitration under the laws of North Carolina, with arbitration proceedings taking place in Durham County, NC.

10.1 Use of Information

Personal information provided by referrers and referred customers will be used solely for the purposes of administering this Program, processing rewards, and ensuring program integrity.

10.2 Data Security & Compliance

We implement reasonable physical, technical, and administrative measures to protect participant information, and we comply with applicable data privacy laws, including the North Carolina Identity Theft Protection Act.

11.1 Individual Termination

We reserve the right to terminate any individual's participation in the Program for breach of these terms or for suspected fraud.

11.2 Program Termination

We may discontinue or cancel the entire Program at any time, with 30 days' notice posted publicly or sent via email to active participants.

11.3 Effect of Termination

No new referral rewards will be earned after the effective date of termination. However, valid and qualifying referrals made before that date will be honored in accordance with these Terms.

12.1 Governing Law

This Program is governed by the laws of the State of North Carolina.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Entire Agreement

These Terms and Conditions constitute the entire agreement regarding the Referral Program and supersede any prior communications or understandings, oral or written.
