License Agreement

The terms on which Stillpoint Builders LLC licenses its client portal, trade portal, and related software to you. This agreement governs the software only — your construction contract is a separate document.

In short

You get a free, personal, revocable licence to use our portal to follow and administer your project. You do not buy the software and you do not own it.

This agreement does not govern the building work. Your signed construction contract does, and nothing here limits our obligations under it or your rights as a consumer.

You keep ownership of everything you upload. You give us only the permission we need to run your project.

Read our Privacy Policy too — it forms part of this agreement.

This summary is for orientation only. The numbered sections below are the operative terms.

1. Acceptance of these terms

This License Agreement (the "Agreement") is a binding contract between you and Stillpoint Builders LLC, a company organised under the laws of the State of North Carolina, United States ("Stillpoint Builders", "we", "us", or "our").

By creating an account, signing in, or otherwise using the Software, you agree to this Agreement and to our Privacy Policy, which is incorporated into it by reference. If you do not agree, do not use the Software.

If you accept this Agreement on behalf of a company — as a trade partner, supplier, or design professional — you represent that you are authorised to bind that company, and "you" means both you and that company.

You must be at least 18 years old and able to form a binding contract. The current version of this Agreement is 2026.08.30, effective August 30, 2026.

2. Definitions

  • "Software" means the Stillpoint Builders client portal, trade and vendor portal, operations portal, public website, any mobile application we publish, and any related documentation, API, or update.
  • "Your Content" means anything you upload, submit, or transmit through the Software — documents, photographs, drawings, measurements, messages, and account details.
  • "Project Data" means records about a construction project: estimates, schedules, daily logs, change orders, invoices, and inspection records.
  • "Construction Contract" means the separate signed agreement between you and Stillpoint Builders for construction services.
  • "Trade Partner" means a subcontractor, supplier, design professional, or other vendor granted access to the Software.

3. Licence grant and scope

Subject to your compliance with this Agreement, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software for the sole purpose of participating in, administering, or servicing a Stillpoint Builders construction project.

Where you use the Software on an Apple-branded product, the licence is limited to use on Apple-branded products that you own or control, and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the Software may be accessed by other accounts associated with you through Family Sharing or volume purchasing.

This is a licence, not a sale. We and our licensors retain all right, title, and interest in the Software. Any right not expressly granted here is reserved.

4. Accounts and security

  • Give accurate registration information and keep it current.
  • Keep your credentials confidential. You are responsible for everything done under your account.
  • Do not share your account. If someone else needs access, ask us to invite them so their permissions can be set correctly.
  • Use multi-factor authentication where we require it. It is mandatory for every internal and administrative account.
  • Tell us immediately at david@stillpointbuilders.com if you suspect unauthorised use.

Access is granted, not claimed. Creating an account does not by itself entitle you to see a project. We link an account to a project only after verifying that the person owns the email address and is a party to that project. Trade Partner accounts see only the scopes assigned to them.

You may delete your account at any time from Account settings. Section 14 of the Privacy Policy explains exactly what is deleted and what we are legally required to keep.

5. Acceptable use

You agree that you will not:

  • access any project, account, document, or record you have not been granted access to, or attempt to;
  • probe, scan, or test the vulnerability of the Software, or breach or circumvent any security or authentication measure, except under a written authorisation from us;
  • reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except where that restriction is prohibited by applicable law;
  • copy, modify, translate, or create derivative works of the Software;
  • rent, lease, lend, sell, sublicense, assign, distribute, or otherwise transfer the Software or your rights under this Agreement;
  • remove or obscure any proprietary notice;
  • use any robot, scraper, or automated means to access the Software or extract data from it, other than through an API we have expressly authorised for you;
  • impose an unreasonable load on our infrastructure, or interfere with the Software's operation or with anyone else's use of it;
  • upload malware, or any content that is unlawful, infringing, defamatory, harassing, or obscene;
  • misrepresent your identity, your licensure, your insurance, or your affiliation with any person or company;
  • use the Software to build or benchmark a competing product, or to train a machine-learning model; or
  • use the Software in violation of any applicable law, including export control, sanctions, building, licensing, and labour law.

6. Your Content

You own Your Content. We claim no ownership of it.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for display, and transmit Your Content solely to operate the Software, deliver and service your project, and comply with law. This licence exists so the software can function; it ends when you delete the content or your account, subject only to the records we are legally required to retain and to copies already distributed to a Trade Partner who needed them for the work.

Marketing is separate and always optional. We will not publish photographs of your project, your name, or your address in any marketing without your separate written consent, which you may withdraw at any time by writing to us. Withdrawing it does not affect your project or your account.

You represent that you have the rights necessary to submit Your Content and that it does not infringe anyone else's rights. We may remove content that violates this Agreement, and we will tell you when we do.

7. Our intellectual property

The Software, its source code, design, user interface, text, graphics, and the Stillpoint Builders name and marks are owned by us or our licensors and are protected by copyright, trademark, and other laws. Feedback you send us about the Software may be used freely and without obligation to you, but it never transfers ownership of Your Content.

Project Data that describes your specific project — your estimate, your schedule, your photographs — is yours to have, and you may export it at any time.

8. Third-party services

The Software integrates with third-party services, including Intuit QuickBooks Online, JobTread, Google, Apple, and Supabase. Those services are governed by their own terms, and you must comply with any applicable third-party terms when you use the Software.

We do not control those services and are not responsible for their availability, accuracy, or acts. Where you authorise a connection between the Software and a third-party service, you authorise us to exchange the data described in our Privacy Policy with that service, and you may revoke that authorisation at any time.

9. Fees

The Software is provided at no charge to homeowners and Trade Partners engaged on a Stillpoint Builders project. There is no subscription and no in-app purchase.

Amounts owed for construction services, materials, and change orders are governed exclusively by your Construction Contract, not by this Agreement. Any invoice you view in the portal is a convenience copy of a record that lives in that contract.

10. Privacy

Our Privacy Policy describes what we collect, why, who receives it, how long we keep it, how you delete it, and the rights you hold. It forms part of this Agreement. Where this Agreement and the Privacy Policy differ on a matter of personal information, the Privacy Policy governs.

11. Confidentiality

The Software exposes information that is confidential to other people — a homeowner's address and plans, a Trade Partner's pricing, an unreleased schedule. You agree to treat any non-public information you access through the Software as confidential, to use it only for the project it belongs to, and not to disclose it to anyone who is not a party to that project.

This obligation survives termination of this Agreement and continues for three years, or for as long as the information remains a trade secret, whichever is longer.

12. Availability, maintenance, and support

We alone are responsible for providing maintenance and support for the Software. Apple has no obligation whatsoever to furnish any maintenance or support services for it. For help, write to david@stillpointbuilders.com; we aim to respond within two business days.

We provide the Software on an as-available basis. We may change, suspend, or discontinue any feature, and we may perform maintenance that makes it temporarily unavailable. We give reasonable notice of a planned interruption where we can. We offer no uptime guarantee for the Software — but no interruption of the Software ever excuses or alters our obligations under your Construction Contract.

13. Suspension and termination

  • You may terminate at any time by deleting your account.
  • We may suspend or terminate your access if you materially breach this Agreement, if we are required to by law, if your account is compromised, or when your project ends and a reasonable warranty-access period has passed.
  • Notice. Except where a breach threatens security or a legal obligation requires immediate action, we will give you notice and a reasonable chance to cure before terminating.

On termination, your licence ends and your portal access stops. Sections 6 (as to residual records), 7, 11, 14, 15, 16, 17, 19, and 21 survive.

Termination of this Agreement does not terminate your Construction Contract, and does not affect any right or obligation under it.

14. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by law, we disclaim all warranties, express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Software will be uninterrupted, error-free, or secure.

This disclaimer applies to the Software only. It does not disclaim, limit, or affect in any way our workmanship warranty, our obligations under your Construction Contract, or any warranty implied by law in respect of construction services. Those are governed by that contract and by North Carolina construction law.

Some jurisdictions do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you. Nothing in this Agreement excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded.

15. Limitation of liability

To the maximum extent permitted by law, and in respect of the Software only, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Software, whether in contract, tort, or otherwise, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Software will not exceed one hundred United States dollars (US$100), which reflects that the Software is provided free of charge.

This cap applies to the Software and to nothing else. It does not apply to, and in no way limits, our liability for construction defects, property damage, personal injury, breach of your Construction Contract, breach of our workmanship warranty, our own gross negligence or wilful misconduct, or any liability that cannot lawfully be limited. Liability for the building work is governed exclusively by your Construction Contract and by law.

Some jurisdictions do not allow the limitation of certain damages, so parts of this section may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Stillpoint Builders and its officers, members, and employees from any third-party claim arising out of Your Content, your breach of this Agreement, your violation of law, or your infringement of a third party's rights. We will notify you of any such claim, let you control the defence with counsel reasonably acceptable to us, and cooperate at your expense. You may not settle a claim in a way that imposes an obligation on us without our written consent.

17. Your Construction Contract governs the work

This Agreement licenses software. It is not a construction contract and does not modify one.

The scope, price, schedule, payment terms, warranties, insurance, lien rights, change-order procedure, and dispute resolution for your project are set by your signed Construction Contract and by North Carolina law. If anything in this Agreement conflicts with your Construction Contract in respect of the construction work, the Construction Contract governs.

Information displayed in the portal is provided for convenience. Where a portal figure and an executed contract document disagree, the executed document controls. Nothing shown in the portal constitutes an offer, an acceptance, or a change order unless it is executed in the manner your Construction Contract requires.

Nothing in this Agreement waives any right you have as a consumer under North Carolina or federal law.

18. Additional terms for applications obtained through the Apple App Store

The following applies where you obtain our application through the Apple App Store, and takes precedence over any conflicting provision of this Agreement in that context.

  1. Acknowledgement. This Agreement is concluded between you and Stillpoint Builders only, and not with Apple. Stillpoint Builders, not Apple, is solely responsible for the application and its content.
  2. Scope of licence. The licence granted in section 3 is limited to a non-transferable licence to use the application on Apple-branded products that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions.
  3. Maintenance and support. Stillpoint Builders is solely responsible for providing maintenance and support services for the application. Apple has no obligation whatsoever to furnish any maintenance and support services in respect of it.
  4. Warranty. Stillpoint Builders is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the application to you (the application is provided free of charge, so that price is zero). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Stillpoint Builders' sole responsibility.
  5. Product claims. Stillpoint Builders, and not Apple, is responsible for addressing any claims by you or any third party relating to the application or your possession or use of it, including (a) product liability claims, (b) any claim that the application fails to conform to any applicable legal or regulatory requirement, and (c) claims arising under consumer protection, privacy, or similar legislation, including in connection with the application's use of the HealthKit and HomeKit frameworks.
  6. Intellectual property rights. In the event of any third-party claim that the application or your possession and use of it infringes that third party's intellectual property rights, Stillpoint Builders, and not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of that claim.
  7. Legal compliance. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  8. Developer name and address. Questions, complaints, and claims about the application should be directed to Stillpoint Builders LLC, Durham, North Carolina, United States, or by email to david@stillpointbuilders.com.
  9. Third-party terms. You must comply with applicable third-party terms of agreement when using the application.
  10. Third-party beneficiary. You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that upon your acceptance of it Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary of it.

19. Governing law and disputes

This Agreement is governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to the Software is the state and federal courts located in Durham County, North Carolina, and you consent to the personal jurisdiction of those courts.

Talk to us first. Before filing anything, write to us describing the dispute and what you want. We will respond within 30 days and try in good faith to resolve it.

Disputes about the construction work are resolved under the dispute-resolution provisions of your Construction Contract, not this section.

If you are a consumer resident in the European Union or the United Kingdom, nothing here deprives you of the protection of the mandatory law of your country of residence, including your right to bring proceedings in your local courts.

20. Changes to this Agreement

We may update this Agreement. The current version is 2026.08.30, effective August 30, 2026. When we make a material change we will give at least 30 days' notice by email or in the portal before it takes effect, and we record which version of this Agreement each account accepted.

Continuing to use the Software after a change takes effect means you accept the new version. If you do not accept it, stop using the Software and delete your account; doing so does not affect your Construction Contract.

21. General

  • Entire agreement. This Agreement and the Privacy Policy are the entire agreement about the Software, and supersede any prior understanding about it. They do not supersede your Construction Contract.
  • Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary and the rest remains in force.
  • No waiver. Failing to enforce a provision is not a waiver of it.
  • Assignment. You may not assign this Agreement without our written consent. We may assign it in connection with a merger, acquisition, or sale of assets, on notice to you.
  • Notices. We give notice by email to the address on your account or by posting in the portal. You give notice by writing to the address in section 22.
  • Force majeure. Neither party is liable for a failure to perform caused by an event beyond its reasonable control.
  • Export control. You will comply with all applicable export control and sanctions laws.
  • No third-party beneficiaries, except Apple as stated in section 18.
  • Relationship. Nothing here creates a partnership, joint venture, or employment relationship.
  • Language. This Agreement is written in English, and the English version governs.
